  • 1. How long does it take to set up a Malta private limited liability company?
    • The Malta Company may be incorporated within 2-3 working days from receipt of the relevant documents (including all due diligence documents) and share capital funds/fees. Once the incorporation is complete, the MFSA will publish a Certificate of Incorporation which will also display the Company Registration number.

  • 2. What are the share capital requirements of a Malta Company?
    • Share capital may be in Euro or the equivalent in any convertible foreign currency.

      The minimum level of authorised and issued share capital is that of EUR 1,165 with 20% of the nominal value of each share to be paid upon incorporation. In order to incorporate a Maltese company we would require a bank slip confirming that a share capital account has been opened in the name of the company.

  • 4. Is a registered office in Malta required?
    • The Malta Company would need a registered office in Malta. CSL may provide the Malta Company with a registered office if required.

      Furthermore, CSL may also arrange for the lease of suitable office space in accordance with the Company’s requirements.

  • 3. Should the directors of the Malta Company be resident in Malta?
    • Our legislation does not specify whether the directors should be Maltese residents or not. CSL may arrange for the appointment of a corporate director to act on the board of directors of the Malta Company, as may be required.

  • 5. Is a Malta bank account required?
    • The Malta Company is not required to have a local bank account. However, if requested, CSL may assist in the opening of a local bank account.The Malta Company is not required to have a local bank account. However, if requested, CSL may assist in the opening of a local bank account.

  • 6. Will the names and details of the shareholders be publicly disclosed?
    • The names and details of the direct shareholders, directors and company secretary are public information and published on the official website of Registry of Companies.  

      If requested, the shares may be held by CSL Ltd. (a licensed trustee company) in the name and on behalf of the direct shareholders of the Malta Company, in which case the names and details of such shareholders would not be available publicly.

  • 7. How do I register a Malta Company for VAT?
    • A company registered in Malta which is trading in goods and/or services in Malta is required to register for VAT within 30 days of its first supply of goods and/or services made in Malta.

      CSL may on behalf of its clients apply for a Maltese VAT Number for their company in Malta, which will require an application form to be signed by the directors of the company and other documentation and due diligence relating to the company and the directors.

      CSL may also offer clients VAT services such as the preparation of VAT Returns which are to be prepared quarterly and submitted on a timely basis to the Maltese VAT Authorities. Failure to meet the reporting deadlines will result in late submission fines and penalties being imposed by the Maltese VAT Authorities.
